Board of Director Duties
Adopted: November 15, 2007
The
St. Charles City-County Library Foundation is a not-for-profit corporation,
organized under the laws of the State of Missouri, exclusively for literary and
educational purposes within the meaning of Section 501(c)3 of the Internal
Revenue Code, and particularly to solicit, receive, hold, and administer gifts,
and to do such other lawful acts and undertake such other enterprises for
literary and educational purposes for the support and benefit of the St. Charles
City-County Library District (SCCCLD) or closely allied causes.
The
Board of Directors is legally and morally responsible for all fiduciary
obligations of the St. Charles City-County Library Foundation (Foundation).
The Board has the authorization to appoint a SCCCLD staff liaison to
assist with necessary Foundation business.

Ensures that
legal requirements for conducting business are met
·
Adopts,
amends, and operates within the bylaws of the Foundation
·
Formulates
policies to fulfill the mission of the Foundation
·
Approves and
monitors finances of the Foundation to the benefit of the SCCCLD, or for closely
allied causes
·
Ensures
availability of sufficient funds to meet Foundation objectives
·
Authorizes
and approves annual budget and audit for the Foundation
·
Manages and
maintains Foundation properties or investments
·
Disburses or
donate amounts, as determined by the Foundation board
·
Identifies
and nurtures individual donors for the benefit of the Foundation
·
Identifies
and nurtures business contributors for the benefit of the Foundation
·
Publicly
supports and participates in Foundation fund raising events
·
May conduct
capital campaigns designed to raise funds for the capital projects of the SCCCLD
·
Understands
and communicates the mission and purpose of the Foundation to the community
·
Serves as an
advocate to enhance the image of the Foundation in the community
·
Demonstrated
interest in goals of the Foundation
·
Available to
serve a three-year term
·
Available to
attend Foundation board meetings – Typically held the 3rd Thurs of
every other month at
·
Willingness
to make a commitment to the Foundation in time and personal resources
·
Participate
on board committees
·
Willingness
to represent the Foundation in the community
Desired
Experience
Specific
experience and/or knowledge in at least one of the following areas:
finance, fundraising, legal, public relations, management/administration,
non-profit organizations, or libraries is helpful.
